Merchant of Record Responsibilities
The legal seller and tax responsibility for managed checkout, with the boundary for external reseller transactions.
The seller behind managed checkout
SoundSync Solutions is the Merchant of Record for purchases completed through SoundSync-managed checkout. SoundSync handles payment processing and applicable sales-tax/VAT calculation, collection, registration, filing, and remittance for those transactions.
SoundSync Solutions is registered in Michigan, USA. Our business address is 2632 Crossing Circle #1010, Traverse City, Michigan 49684, USA. Contact support@soundsyncsolutions.biz for support, billing, privacy, or security questions.
SoundSync
Who handles what
Responsibility follows where the sale is completed.
| Responsibility | SoundSync-managed purchase | External reseller purchase |
|---|---|---|
| Payment processing | SoundSync, included in the platform fee | External seller or its provider |
| Sales tax and VAT | SoundSync handles applicable managed-sale obligations | Determined by the external seller's arrangement |
| Product support and product rights | Developer | Developer and partner, according to their agreement |
| Licensing and customer access | SoundSync entitlement and licensing workflows | Approved serial, claim, or partner integration where configured |
| Developer income/business taxes | Developer | Developer |
One fee, with processing included
SoundSync charges one 10% fee on product revenue after discounts and before tax. Payment processing is included for SoundSync-managed checkout. Marketplace-attributed sales use the same fee, not a second marketplace charge.
Developer proceeds for a sale equal discounted pre-tax product revenue minus the SoundSync fee. Later refunds, disputes, and separately disclosed usage charges are recorded as separate adjustments.
Supported checkout locations
SoundSync supports international checkout in the locations listed on the tax and coverage page. The checkout location selector determines availability. Coverage is not a claim that every country or every tax exemption is supported.
An external serial is not a managed sale
A sale completed through an external reseller or another payment system is not automatically a SoundSync-managed sale. SoundSync can provide serials, customer claims, licensing, and fulfillment for an approved external integration without becoming the legal seller for that external transaction.
Each calendar month includes 10,000 qualifying external redemptions, then $0.005 per redemption. Examples include free-product claims and reseller or other off-portal serial claims. A free BOGO gift included in a paid SoundSync checkout has no external-redemption charge. Ordinary license validation, device activation, and reactivation are not each a new external redemption merely because they call the licensing API.

Affiliate and collaborator shares
Affiliate and collaborator programs are being introduced through agreement previews. Live commission accrual and recipient payouts are not enabled. Preview acceptance does not authorize payments; live participation will require separate acceptance and verified payout details.
SoundSync, not the developer, is responsible for the planned recipient payouts on SoundSync-collected sales. Applicable SoundSync fees are deducted first, then accepted affiliate and collaborator shares and the developer remainder are kept separate. The planned schedule is the same 1st and 15th schedule and minimum 14-day hold used for developer payouts, with refund and dispute adjustments. An external reseller receipt does not fund a payout: those proceeds remain unfunded until SoundSync actually receives the money.
